The Lawsuit Is About Boilerplate – Important Considerations of Typical Contract Provisions
Lawrence Teplin and Alicia Vaz will participate as speakers in this MCLE presentation hosted by the San Fernando Valley Bar Association.
The program will address the following areas: (i) recitals of fact and implications of recitals of fact; (ii) attorney fee clauses -- forms and pros and cons; (iii) liquidated damages clauses -- forms and pros and cons; (iv) jurisdiction and venue provisions including provisions related to service of process; (v) alternative dispute resolution -- forms, and the difference between and the advantages and disadvantages of arbitration and judicial reference; (vi) the use of covenants and conditions; (vii) miscellaneous matters, including the use of registered or certified mail, calculation of days whether by business days or otherwise, incorporation of exhibits into an agreement, and integration clauses; and (viii) special issues with regard to letters of intent.
