Overview

With 20 years of experience in a broad range of real estate matters, Scott brings a practical approach to each project that promotes the client’s specific goals while never losing sight of the overarching need to get the deal done.  He works with individual entrepreneurs just as comfortably as with institutional investors and represents a wide variety of clients, including REITs and other owners, operators, and developers of real estate.  He structures, negotiates and documents acquisitions, dispositions, financings, construction, joint venture, development, leasing, CC&Rs, asset management, title and survey matters and many other transactional issues likely to arise in complex real estate transactions involving all manner of commercial real estate assets, including office buildings, retail, multi-family, industrial, and raw land.  In particular, Scott has considerable experience representing healthcare REITS and other public and private companies in the acquisition, management, financing and leasing of healthcare-related assets such as medical office buildings, skilled nursing facilities and assisted living facilities.

A graduate of the University of California, Los Angeles School of Law, Scott worked as a judicial extern during law school for the U.S. Court of Appeals, 9th Circuit, with the Honorable Arthur L. Alarcon.  Prior to law school, Scott served five years as a surface warfare officer in the U.S. Navy stationed in San Diego, California, where he participated in a wide variety of military operations and training exercises involving naval warships and U.S. Navy and Marine Corps personnel.  Scott received his B.A. from the University of California at Berkeley, where he was on the Dean's List, and spent a full academic year studying at the Université de Montpellier in the south of France.

Experience

  • Represented a healthcare REIT in the acquisition of a 13 properties portfolio of medical office buildings located in multiple jurisdictions across the United States (including Arizona, Florida, Georgia, Illinois, New Mexico, Ohio, Oklahoma, Missouri, New York, Texas), for an aggregate purchase price in excess of $130 million.

  • Represented a healthcare REIT in negotiating various medical office building leases and amendments to existing leases for each of the 13 properties in the acquisition portfolio, covering an aggregate total of 350,118 square feet, which negotiations also included a ground lease for a property in Oklahoma with a purchase price of $50 million.

  • Represented an institutional investor in negotiating leases for portfolio of two medical office building properties in Texas covering almost 25,000 square feet in connection with a $14,300,000 acquisition.

  • Represented several healthcare operator and lender clients in connection with multiple acquisitions, dispositions, leasing, sale-and-leaseback arrangements and third-party financing of skilled healthcare and assisted living facilities across the nation (with loans insured by the U.S. Department of Housing and Urban Development (HUD)), including portfolios of such facilities in Arkansas, Arizona, California, Florida, Indiana, Michigan, New York and Wisconsin.

  • Represented a privately held real estate developer in the parcel-by-parcel acquisition, development and financing of a portfolio of residential properties in East Palo Alta, California (including negotiations with lenders for a working capital line of over $200 million), that grew to encompass over 100 single family residences and multifamily properties.

  • Represented institution equity investors and privately held real estate developers for joint venture agreements in connection with the acquisition and development of several complex projects, including high-rise condominium towers in San Diego, California and Atlanta, Georgia and a five-star luxury hotel in Aspen, Colorado.
