Overview

Greg Caligari is an experienced real estate transactional attorney who specializes in real estate, land use, natural resources, and renewable energy development.  He serves as the team leader for the San Francisco Real Estate and Renewable Energy Development team.

Greg’s practice focuses on real property acquisitions and dispositions, leasing and development. He represents developers, institutional clients, and local governmental agencies in buying, selling, and leasing real estate for a variety of industries, including residential, commercial, office, retail, healthcare, agriculture, technology, mitigation banking, and energy. With a practice that ranges from assisting clients in acquiring property for residential development to office, retail and industrial leasing projects, his representation regularly includes negotiating and drafting agreements, conducting due diligence, and closing transactions. 

Greg has particular experience in the homebuilding industry and related transactions and represents numerous homebuilders and residential developers in his practice.  Greg also represents public and private renewable energy companies in negotiating, entering and implementing renewable energy leases, easements and associated property rights and financing agreements for utility scale solar and wind energy projects throughout California.  Greg also has extensive experience advising clients with respect to land conservation transactions, and species and habitat mitigation bank and turn-key mitigation projects. 

Developers' Counsel  

In addition to real property acquisitions and dispositions, Greg's practice regularly includes representing developers in negotiating and securing development-related approvals such as development agreements, affordable housing agreements, infrastructure acquisition and reimbursement agreements, mitigation lands and conservation easements. He also advises clients regarding the use of land-based financing mechanisms including Mello-Roos Districts.  

Local Government Matters  

Greg has served as real estate counsel for many local governmental agencies and special districts including Alameda County, El Camino Hospital District and the Alameda County Flood Control and Water Conservation District (Zone 7). 

Prior Experience

Prior to joining Cox, Castle & Nicholson in 2007, Greg was a partner in the real estate group at the law firm of Morrison & Foerster, LLP. From 1997 to 2002, he was Senior Counsel at wireless telecommunications company AirTouch Communications, Inc. (later Vodafone-AirTouch). Prior to joining AirTouch Communications in 1997, he was an associate in the Walnut Creek office of Morrison & Foerster where he was engaged in real estate and land use practices.

Experience

Master Planned Mixed-Use Residential And Commercial Development Projects

Lead transactional attorney for private and publicly traded developer clients with respect to hundreds of millions of dollars in acquisitions and dispositions of various mixed-use residential and commercial development projects throughout Northern and Central California. Projects typically involve thousands of residential dwelling units, together with a variety of retail, health care, education, employment center, community service, and public facilities, in addition to golf courses, recreational, and other uses.

Represented Broadcom affiliate CMK LLC (Broadcom) in the $207 million acquisition and entitlement of Innovation Place, a research and development campus on 26 acres in San Jose, California, from Boston Properties’ affiliate BXP Zanker Road LP (Boston Properties). The campus has four existing buildings and the entitlements allow two more, for a total of over 1M square feet. Broadcom was interested in a substantial buy in the San Jose area to provide consolidated office space for its offices in the Bay Area.

Renewable Energy Projects

Real estate counsel to renewable energy developers for numerous California projects including Shiloh II Wind Energy (150 MW), Shiloh III Wind Energy (120 MW), Shiloh IV Wind Energy (102.5 MW), Pacific Wind Energy (140 MW), Catalina Wind and Solar Energy (560 MW), FRV Valley Solar (70 MW), and Oro Verde Solar (450 MW).

Hospital And Medical Office Building Projects

Represented prominent private and public Northern California health care providers with respect to a variety of real estate purchase and sale and leasing transactions, including $50 million acquisition of hospital facilities as well as medical office building acquisition, leasing, and development projects.

Commercial Leasing

Represent one of the world's largest international container transportation, logistics, and terminal companies with respect to their United States commercial office leasing portfolio.

Data Center Acquisitions

Represented a data center operator in $71.6 million acquisition of data center properties in Santa Clara County.

Government Service Facilities

Represented Alameda County with respect to acquisition of 102,400 square foot County Social Services building and associated parking located at 2000 San Pablo Avenue, Oakland, California.

Military Base Reuse

Serve as legal counsel to a master developer with respect to real estate transactional issues related to redevelopment of 11,000- acre mixed-use project, including single and multi-family housing projects.

Sales Tax Revenue Sharing Projects

Represent both municipalities and developers in connection with structuring and implementing commercial transactions where projected sales tax revenues are used to offset project costs.

LAFCo Service Review/Audit

Represented a special district in successfully addressing issues raised in contentious service review and audit by Local Agency Formation Commission.

Wireless Telecommunications Development And Siting Issues

Counsel developers and telecommunications providers with respect to broad range of development, permitting, and siting issues for wireless communications facilities.
