Overview

David is known for his ability to combine extensive legal knowledge and business acumen to strategically plan and structure complex real estate transactions. With a focus on achieving his clients' business goals, he handles the complex aspects of acquisition, disposition, joint venture, development, asset management, and other transactions. David has a wide range of clients, which include developers of and investors in commercial office projects, healthcare facilities, complex multi-use developments, and resorts and country clubs.

Commercial Transactions

David has extensive experience representing public and private companies focused on commercial real estate throughout the United States.  He works closely with his clients to gain an in-depth understanding of their business plans and assists his clients in creatively structuring transactions to achieve their short and long term objectives.

REIT Transactions

David has represented REIT clients in acquisition, disposition, joint venture, and financing transactions totaling over $5 billion. He also structures and negotiates ground leases, master leases, loan assumptions, development agreements, and property management agreements.

Healthcare Transactions

David has considerable experience representing numerous public and private companies in the acquisition and disposition of a wide variety of healthcare-related assets, including medical office buildings, skilled nursing facilities, assisted living facilities, and long-term acute care hospitals.

Country Clubs

Some of the country's most renowned country clubs engage David to structure, implement and modify equity and non-equity membership programs. David has a comprehensive understanding of the operations and intricacies of both equity and non-equity clubs and is routinely engaged to implement cutting-edge membership programs. In addition, he has extensive experience negotiating and drafting golf course design and construction agreements as well as shared-use and reciprocal rights agreements between country clubs and adjacent developments.

Residential And Resort

David represents developers of and investors in master planned communities, condominium communities, shelf condos, and other complex mixed-use projects. He has experience implementing and structuring sales and rental programs as well as structuring and forming homeowner associations. He prepares governing documents, including CC&Rs and bylaws. He has also negotiated construction contracts and development agreements and coordinated entitlements and environmental compliance. 

Representative
Matters

Represented a healthcare REIT in the acquisition of a $196 million portfolio of nine medical office buildings in New York, Florida, and Massachusetts. The transaction also included seven separate loan assumptions totaling more than $100 million.

Represented a public REIT in obtaining a $200 million unsecured credit facility.

Represented a public company in the sale of a 92 unit adaptive reuse shelf condo project located in Los Angeles.

Represented a group of private investors in the acquisition of a portfolio consisting of three hospitals and ancillary healthcare-related assets in Southern California.

Represented a healthcare REIT in the acquisition of a $161 million portfolio of sixteen medical office buildings located in South Carolina.

Represented a healthcare REIT in the acquisition of a majority interest in a partnership that owns a medical office building located in Houston. The transaction was structured so that the seller group (consisting of more than 20 physicians) was provided the right to remain in the partnership that owns the building, receive limited partnership units in the REIT's operating partnership ("UPREIT" structure), and/or receive cash.
