Overview

Joshua Loeb is an associate on the firm’s Capital Markets team. Joshua has experience handling real estate acquisition financing transactions (including negotiation of CMBS loans, SBA loans and mezzanine debt), construction loans, loan modifications and restructurings. He has prepared and negotiated construction agreements (both AIA forms and custom agreements) on the developer’s side for the construction of commercial, industrial, multi-family and residential properties. He has also prepared and negotiated lease agreements, both on the landlord and the tenant side, for the use and occupancy of commercial, office, industrial, multi-family and retail properties.

Joshua received his J.D. from The University of Texas School of Law in 2014. He graduated cum laude with a B.A. in History from the University of California, Los Angeles in 2011.

During law school, he served as a judicial extern to the Honorable Steven C. Suzukawa of the California Court of Appeal, Second District, Division Four.

Matters

Represented well-known owner/operator in connection with acquisition of mixed-use commercial/residential building located in downtown Los Angeles’s historic bank district for approximately $37,000,000. Primary responsibilities on this transaction included: preparation and negotiation of purchase and sale agreement; review all of due diligence materials and preparation of lease abstracts for commercial tenants located at property; preparation and negotiation of reciprocal common area maintenance easement among our client and owners of adjacent buildings; and closing acquisition.

Represented owner/operator in connection with acquisition and financing of commercial office complex comprised of over 200,000 rentable square feet of space located in Culver City, California, for approximately $65,500,000. Acquisition was financed by a $23,000,000 loan from an Asian-Pacific lender. Primary responsibilities on this transaction included: review of all due diligence materials and preparation of lease abstracts for the property’s major tenants; preparation of new lease form to be used for subsequent leasing of available space at property; negotiation of listing agreement with listing broker; negotiation of loan documents with lender; coordinating and facilitating use of proceeds from client’s recent IRC § 1031 exchange; and closing acquisition and loan transaction.

Represented well-known owner/operator in connection with its acquisition of an approximately 100,000 square foot office building located in northern California for approximately $30,000,000. Property was acquired as part of reverse IRC § 1031 exchange and was financed by loan of approximately $20,000,000. Primary responsibilities on this transaction included: negotiation of loan documents with lender; coordinating and facilitating use of proceeds from client’s recent reverse IRC § 1031 exchange; preparing legal opinion on enforceability of loan documents; and closing loan transaction.

Represented landlord in connection with negotiation of lease transaction for approximately 5,200 square feet of creative office space in an approximately 21,000 square foot mixed-use building located in Los Angeles, California.

Represented post-production media company, as tenant, in connection with negotiation of lease transaction for approximately 17,000 rentable square feet of space in an approximately 120,000 square foot office building located in Burbank, California.
