Overview

Cox, Castle & Nicholson enjoys incomparable experience in all facets of office, industrial, retail and mixed-use leasing throughout the United States. Our attorneys efficiently handle all aspects of the landlord/tenant relationship, including structuring, negotiating, and documenting all types of leases and ancillary documentation related to commercial leasing and asset and property management. We have one of the largest and most qualified staffs of attorneys in California devoted primarily to commercial leasing. We not only staff each transaction with highly qualified professionals in the field, but we are also sensitive to the unique time and cost concerns of our clients relative to leasing transactions. We have the depth of knowledge and experience to handle both routine and unusual and complex transactions in a timely, thorough, and effective manner.

Using Business Acumen To Address Our Client's Leasing Needs

Our overall approach is "business oriented." We advise our clients on relevant legal issues and then weave our clients' business considerations into the resolution of issues. We are sensitive to the practical ramifications as well as the legal effects of alternate courses of action. We pride ourselves on our ability to keep abreast of, and to contribute to, the rapidly changing legal environment for the real estate development community, and we closely monitor all federal and state legislative and regulatory developments concerning office, industrial, retail and mixed-use project leasing and development issues. In addition, we are actively involved with all of the relevant trade organizations in the commercial leasing arena, and that involvement, together with the depth of exposure to all varieties of real estate transactions, enables us to understand our clients’ business objectives in relation to current market trends.

Office Leasing 

We regularly represent landowners and tenants in acquiring, developing, constructing, leasing, financing, and disposing of all types of office projects throughout the United States. With experience comes proficiency, and our experience includes negotiating and documenting office leases for landlords and corporate user tenants alike, covering millions of square feet of office space annually throughout California, to the Pacific Northwest and Arizona and elsewhere throughout the United States for some of our corporate tenant clients. Our practice covers every type and size of office lease from small office leases to major corporate office building headquarters and corporate headquarters campuses. We handle a number of projects that include significant retail and other lifestyle amenity uses such as restaurants, health clubs and support retail in an office/retail mixed-use environment. In addition, we review office leases in connection with our representation of lenders and purchasers of major office buildings and projects and have reviewed, analyzed, and developed form lease documentation in use for in excess of 40,000,000 square feet of office and mixed use product.

Industrial Leasing

We have substantial experience representing major industrial developers and industrial corporate tenant users. We have negotiated and drafted leases on behalf of landlords and tenants for millions of square feet of industrial space in multi-tenant and single-tenant industrial projects (as small as a few thousand square feet in multi-tenant projects to 1,000,000+ square foot distribution centers), including warehouse and distribution/logistics centers, cold storage facilities, and data centers. We are experienced in dealing with issues of particular importance to in the industrial arena, including issues involving hazardous materials, back-up and specialty equipment and maintenance, repair and replacement issues.

Retail and Mixed - Use Project Leasing

With our many and highly experienced attorneys devoted primarily to retail and mixed-use project leasing (including entertainment centers and office/retail mixed –use projects), we have extensive and unique experience in the negotiation and documentation of all types of standard retail and mixed-use retail leases. We have successfully completed countless transactions with many national and regional operator tenants, including nearly all "big box," major power center and neighborhood center tenants and most regional mall and entertainment/lifestyle center tenant operators, including health club, restaurant, cinema and other specialty retail operators. Because of our experience and familiarity with these national and regional tenants and our understanding of the fundamental needs of retailers and others that operate in the retail world, we are able to complete retail and mixed-use leasing transactions in a manner that we believe is unparalleled in its thoroughness, expediency, and cost-efficiency.

Matters

Represented a developer of multi-building office campus, including negotiation of land purchase agreement, entitlement agreements with city, venture agreements with equity partner, loan documentation, construction contract, and office leases.

Represented a developer of 1.2 million square foot distribution facility, including negotiation of land purchase agreement, master developer site work agreement, single tenant lease, development management agreement, and construction contract.

Represented a national chain grocery store operator/developer in sale of multi-project portfolio of shopping centers with lease back of anchor grocery store locations.

Represented a regional landlord in the lease of a 240,000 square foot single-tenant industrial building in Ontario, California.

Represented a major Southern California retail developer in connection with over 750,000 square feet of retail leasing in the Western United States. Continue to represent the developer in connection with all of it leasing transactions.

Represented the developer in connection with the acquisition of 55 acres of land in Northern California. Represented the same developer in connection with the sale of a portion of the land to Target (which involved the negotiation of a Purchase Agreement, Reciprocal Easement Agreement and Development Agreement, and the sale of a portion of the land to a multi-family developer (which also involved the negotiation of an Agreement of Covenants, Conditions and Restrictions and Grants of Easements)).

Represented a developer in connection with the majority of the leasing for a high-end lifestyle shopping center in North San Diego County. The shopping center contains approximately 450,000 square feet.

Represented a major retail tenant in connection with the acquisition of real property in Southern California, including related site development agreement and operation and easement agreement.
