Homebuilding Acquisitions

Rupal works with publicly traded and private national and regional homebuilders on residential land acquisitions in California and other markets. She has worked on deals ranging from raw and entitled land to master-planned community parcels and infill sites. She drafts and negotiates purchase and sale agreements, including for phased and multi-parcel takedowns, and helps manage due diligence, title and survey review, entitlement and development conditions, and closings.

Acquisitions and Dispositions of Improved Property

Rupal has represented buyers and sellers in acquisitions and dispositions of improved real property, including office, research and development, industrial, retail, multifamily and mixed-use assets. Her clients include public pension funds, private equity funds, investment managers and developers. She helps drafting and negotiating purchase and sale agreements and manages diligence and closings.

Land Banking

Rupal has developed a focus on land banking transactions. She has represented both land banking capital providers, including institutional investment managers and a publicly traded REIT, and the homebuilders who use these structures. She has helped document master land bank facilities, short-term facilities and portfolio arrangements, as well as single-project land bank deals for publicly traded and private homebuilders. Her work has included option agreements, development agreements, construction and lot takedown mechanics, and related acquisition documents. These deals cover projects in California, Texas, Florida, Washington, South Carolina and other markets.

Joint Ventures

Rupal has represented public pension funds, institutional investors, private equity real estate funds and homebuilders on the formation and operation of real estate joint ventures. She has drafted and negotiated operating and LLC agreements for programmatic and single-asset ventures. These ventures cover for-sale residential, multifamily, industrial and mixed-use projects. She has also worked on portfolio acquisitions and sales through joint venture platforms, as well as joint venture restructurings and transfers of membership interests.

M&A Transactions

Rupal has assisted homebuilders and real estate companies with mergers and acquisitions, including entity-level acquisitions and the real estate aspects of corporate deals. She has worked on transactions for regional homebuilders involving their land portfolios, communities and corporate entities. On these deals she has helped coordinate real estate due diligence, transfers of land and project assets, and related transaction documents.

Assisted in representation of Southern Impression Homes in an acquisition where Gehan Homes acquired an 80% stake in the company. Southern Impression Homes specializes in build-to-rent development and construction.

Assisted in representation of Woodside Hotel Group in the refinancing of Lafayette Park Hotel & Spa in Lafayette, California, and The Lodge at Bodega Bay, in Bodega Bay, California.

Assisted in representation of Placemakr in the creation and structuring of an employee investment joint venture, the creation and structuring of a syndicated investment joint venture, the negotiation of joint ventures with a private equity fund, and recording of securities all for the acquisition of a boutique hotel in Nashville, Tennessee.

Assisted in representation of Four Corner Properties in the refinancing of a multifamily project in Menlo Park, California.
