We also provide guidance in the event of disputes arising from these kinds of arrangements.

We frequently represent both lenders and borrowers in the origination of loans of all types in commercial real estate projects, including acquisition, construction and mezzanine loans, and the exercise of related remedies. In addition, we have extensive experience in a variety of issues that may arise in commercial real estate transactions, including entity structuring, hazardous materials, insurance, land use, leasing, tax and financing. We are adept at advising our clients in all aspects of due diligence review and evaluation of real estate investments, including title and survey, zoning and entitlements and environmental review.

  • Represented an institutional investor in the formation and negotiation of a joint venture with a local developer to acquire, redevelop, finance, lease, and operate a residential apartment project in Miami, Florida.
  • Represented an institutional investor in the formation and negotiation of a joint venture with a student housing developer to acquire, develop, finance, lease, and operate a student housing project in Berkeley, California.
  • Represented the investment authority for a group of Canadian pension funds in the structured division, between the client and its co-investor, of portfolios of industrial projects developed throughout the United States in joint ventures with the co-investor, with total portfolio value in excess of $500 million.  Assisted client in the assumption of asset management of the completed industrial portfolios.
