Katherine C. Bissett



A commercial finance attorney on the firm’s Capital Markets Team, Katherine specializes in representing a variety of lenders, including insurance companies, private lenders and national and regional banks in connection with diverse real estate finance transactions.   She has also secured funding for borrowers, including a private REIT operating throughout the Western United States.

Katherine has experience with acquisition loans, bridge and construction loans, mezzanine loans, revolving credit facilities and ground lease financing.  Her deal experience spans a broad spectrum of product types, including hotel, retail, commercial and multifamily projects.  Throughout the course of a transaction, Katherine is involved in drafting and negotiating loan documents.  She also identifies and reviews a wide array of due diligence as well as coordinates transaction logistics and closings.  Although her practice is primarily based in California, she also has experience with a variety of portfolio transactions involving properties across the United States.

While at UCLA School of Law, Katherine was a founding member and served as Vice President of the Real Estate Law Association in connection with the UCLA Ziman Center for Real Estate. She was also Comments Editor of the UCLA Journal of Environmental Law and Policy.  Katherine was awarded the 2010-11 Jerry Patch Constitutional Law Award and was designated a member of the Order of the Coif, graduating in the top 10% of her class.


Assisted in representation of lender of the owner of a boutique hotel in New York, New York in connection with a $65 million loan facility, which was structured as a senior loan of $40 million that was transferred to another lender and the client retaining a junior loan in the amount of $19 million.

Assisted in representation of an insurance company, in $100 million loan to a publically traded REIT. The loan was secured by office properties located in Los Angeles and Orange County, California.

Assisted in representation of a regional bank in connection with a $67 million construction loan secured by real property in Hawaii, including the negotiation of an inter creditor agreement with the mezzanine lender.

Assisted in representation of a national bank in connection with a $345 million loan secured by 100 properties throughout the United States.

Assisted in representation of lender in connection with a $52 million loan to the owner of a boutique hotel, secured by a ground lease in a national park. Also assisted in the subsequent leveraging of the loan.
