We represent clients in the acquisition, development, leasing and sale of all types of office buildings, from high-rise towers to suburban campuses. Our expertise extends to handling projects that include significant residential, retail and other lifestyle amenity uses such as restaurants, health clubs and retail in a mixed-use environment. We bring unparalleled industry experience and legal acumen in addressing the full spectrum of office transactions.

Our array of experience gives us a competitive edge in our ability to analyze and resolve the various challenges that arise in office lease transactions quickly and efficiently. Our office team includes attorneys specializing in the negotiation of purchase and sale agreements, loan documents, leases, design, engineering and construction contracts, reciprocal easement agreements and CC&Rs and development and asset management agreements.

As needed, our office team collaborates with the firm’s multidisciplinary attorneys with expertise in joint ventures/operating agreements, finance, insurance, tax, land use, zoning, environmental matters (such as hazardous materials), bankruptcy, litigation and construction to provide innovative solutions for more complex office matters.

We counsel clients throughout all phases of the development cycle, including sales and acquisitions, financing, design, construction, leasing, management and operation. We also regularly advise clients on real estate and other related issues in the day-to-day management of office projects.

Office Leasing

Our attorneys structure, negotiate and document several million square feet of office lease transactions annually. We have successfully completed leases for a broad array of private and institutional investors, including publicly traded REITs, as well as entrepreneurial individuals and other investors throughout the West Coast and in other major U.S. metropolitan areas. Our experience spans of all types of office users, from one of the world’s largest e-commerce companies in an office lease for more than 650,000 square feet of space, to sole proprietors in smaller office lease transactions.

Experience

  • Represented a California pension fund in the acquisition, financing, and development of a $610 million office park located in Santa Clara, California, which involved the acquisition of membership interests in REIT entities that owned the property, title and survey review, and amendments to existing CC&Rs.
  • Represented a public pension plan in connection with the formation and financing of a joint venture to acquire four existing buildings and land for $165 million to be partially redeveloped with new office buildings, totaling a $250 million commitment by the public pension fund.  The representation included all aspects of the acquisition, including negotiation of the purchase and sale agreement, title and survey review and land use and entitlement analysis, as well as representation of the joint venture in connection with obtaining a construction loan for the project.
  • Represented an institutional investor that invested $209 million in a joint venture structured as a REIT which in turn invests in an entity that indirectly owns and operates an office building in New York, New York.
